Terms of service

These terms are the agreement between you and 52commerce for the use of the Agent ChaChing app and website. They are written to be read. If anything is unclear, ask us before you rely on it.

1. About these terms

Agent ChaChing is a service of 52commerce, Kronenburgsingel 525, unit 3.05, 6831 GM Arnhem, the Netherlands, Chamber of Commerce (KvK) number 83007229 ("we", "us"). By creating an account or using the app or the website you accept these terms. "You" means the person or business that creates the account. If you use the service for a business, you confirm that you may bind that business.

2. The service

Agent ChaChing is a mobile app for iOS and Android that sends a push notification with a sound when an order is placed on your Amazon seller account, shows whether your Amazon connection is active and how many orders came in today. To use it you need:

• your own Amazon seller account in good standing;
• a supported iOS or Android device with notifications enabled;
• to authorise the app through Amazon's official consent screen, which grants us one read-only permission, "Inventory and Order Tracking".

You can revoke that authorisation at any time in the app or in Seller Central. Your Amazon account remains governed by Amazon's terms, and you remain responsible for complying with them.

3. Your account

• You must be 18 or older.
• You sign in with an email link, Sign in with Apple, or Google. Keep the email account and your devices secure; you are responsible for what happens under your account.
• You give us an accurate email address and keep it current, so we can reach you about your subscription, security and changes to these terms.
• You may use your account on more than one device. You may not share an account with others.

4. Alerts are a tool

Alerts are a tool. Seller Central remains the authoritative source for orders, amounts, fulfilment and everything else. Amounts shown while an order is still pending are estimates until Amazon confirms them.

We aim for zero missed orders, we measure it, and we show you the results in the app. We do not guarantee that any alert arrives, or arrives within a certain time. Part of the chain is outside our control: Amazon (when order data becomes available and whether its notifications are sent), Apple and Google (delivery of push notifications), your network, and your own device settings such as notification permissions, Focus modes and battery savers. Do not rely on the service for legal, tax or time-critical shipping decisions.

5. Plans, trial and payment

• One plan (Pro): every marketplace and every feature, for the price shown in the app or on the website at the time you subscribe. Prices may differ by country and currency; the store shows the exact price before you confirm.
• Trial: 14 days of Pro for free, once per person or business. Unless you cancel before the trial ends, the subscription starts and you are charged.
• Renewal: subscriptions renew automatically, monthly or yearly, until you cancel.
• Where you pay: through the App Store (Apple), Google Play (Google), or our website (Stripe). The rules of that platform apply to billing, refunds and the statutory right of withdrawal.
• Cancelling: always through the platform where you subscribed. Apple: Settings, Subscriptions. Google: Play Store, Subscriptions. Website: your account page or an email to us. Cancellation takes effect at the end of the period you paid for; you keep Pro until then.
• Consumers buying on our website: you have 14 days to withdraw. If you asked us to start the service immediately, we may charge for the part of the period you used.
• Price changes: we tell you at least 30 days in advance; a new price applies from your next renewal after that notice, and you can cancel before it does.

6. Acceptable use

You may connect only your own Amazon seller account, or one you are expressly authorised to manage. You may not:

• use the service for someone else's Amazon account without their permission;
• reverse engineer, decompile or copy the app, its sounds or our API, or build a competing product from them;
• scrape, probe, overload or interfere with the service or circumvent plan limits and security measures;
• resell or sublicense the service without our written agreement;
• use the service for anything unlawful.

We may suspend or end your access if you break these rules or if we must do so to protect the service, other users, or our relationship with Amazon.

7. Amazon and other names

We are not affiliated with, endorsed by or sponsored by Amazon. We use the name Amazon only to describe what the service works with. Amazon is a trademark of Amazon.com, Inc. Apple and the App Store are trademarks of Apple Inc. Google Play is a trademark of Google LLC. Shopify is a trademark of Shopify Inc. We connect to Amazon as a registered developer through Amazon's official Selling Partner API and follow Amazon's data protection and acceptable use policies.

8. Intellectual property

The app, the website, the Agent ChaChing name and logo, and the sounds (our own production) belong to 52commerce. You get a personal, non-exclusive, non-transferable licence to use the app for your own business while you have an account. If you send us feedback, we may use it without owing you anything.

9. Your data

How we handle data is described in our privacy policy, which is part of these terms. By connecting Amazon you instruct us to read the order data described there for the sole purpose of your alerts and the order count shown in the app, and you confirm that you are entitled to give that instruction. We never access buyer personal data.

10. Availability and changes

We work to keep the service available around the clock, but we do not promise uninterrupted availability. We may pause the service for maintenance, and we may change or add features at any time. If we remove a feature you paid for or stop the service altogether, we give at least 30 days' notice and, for subscriptions bought on our website, refund the unused part of what you prepaid. For subscriptions bought through the App Store or Google Play, that store's refund rules apply.

11. Liability

To the extent the law allows, our total liability for all claims arising from the service in any 12-month period is limited to the amount you paid us in the 12 months before the event that caused the claim. We are not liable for indirect damage, lost profit, lost sales, missed shipments, or damage caused by delays or failures of Amazon, Apple, Google, your network provider or your device. Nothing in these terms limits liability for intent or deliberate recklessness on our part, or where mandatory law does not allow a limitation. If you are a consumer, your statutory rights remain unaffected.

12. Term and termination

You can stop at any time by deleting your account in the app. We can end the agreement with 30 days' notice, or immediately if you break these terms, if we must for security or legal reasons, or if Amazon requires it. After termination we delete your data as described in the privacy policy. Sections 7, 8, 11 and 15 continue to apply.

13. Partner programme

Our referral programme for partners has its own rules, summarised on the partners page and set out in full in the partner agreement you receive when your application is approved.

14. Changes to these terms

We may update these terms. For material changes we notify you in the app or by email at least 14 days before they take effect. If you do not agree, stop using the service and delete your account before that date; continuing to use the service afterwards means you accept the new terms.

15. Governing law

These terms are governed by the laws of the Netherlands. Disputes are brought before the competent court in the Netherlands. If you are a consumer living in another EU country, you keep the protection of the mandatory rules of that country and may bring a claim there.
